MENUVIEW Collaboration Agreement (Version 1.0)
By checking the corresponding box on the registration form, you (hereinafter, the “Recruiter”) agree to and commit to complying with the terms and conditions of this Collaboration Agreement with MENUVIEW S.L. (hereinafter, “MENUVIEW”). This agreement governs the collaboration between MENUVIEW and the Recruiter for managing profiles of hospitality venues on the platform menusview.com (hereinafter, the “Platform”).
1. PURPOSE OF THE AGREEMENT
This Agreement governs the collaboration between MENUVIEW and the Recruiter, who will act independently to promote and manage profiles of hospitality venues on the Platform to generate income through the administration of these profiles.
2. RELATIONSHIP BETWEEN THE PARTIES
2.1 Independence: This Agreement does not create an employment relationship between MENUVIEW and the Recruiter. The Recruiter will act as an independent collaborator, not as an employee, representative, or agent of MENUVIEW.
2.2 Autonomy and Responsibility: The Recruiter is autonomous in their operations and is responsible for fulfilling their tax and legal obligations in their country of residence.
2.3 Non-Exclusivity: This Agreement does not grant the Recruiter exclusivity to manage venues in a specific geographic area unless expressly agreed upon in writing with MENUVIEW.
3. RECRUITER OBLIGATIONS
3.1 Profile Management: The Recruiter agrees to:
- Register and keep hospitality venue profiles updated on the Platform.
- Comply with MENUVIEW’s guidelines and policies for profile creation.
- Provide truthful information and obtain explicit consent from venue owners to publish such information.
3.2 Interaction with Venue Owners: The Recruiter will be responsible for communication with the owners of the venues they manage and for establishing the terms of any payments made by these owners for their services.
3.3 Compliance with Regulations: The Recruiter agrees to comply with all applicable laws in their country of residence, including data protection, privacy, and tax obligations.
3.4 Responsible Use of the Platform: The Recruiter will use the Platform solely for legitimate purposes and will not engage in activities that could harm MENUVIEW’s reputation or integrity.
4. MENUVIEW OBLIGATIONS
4.1 Platform Access: MENUVIEW will provide the Recruiter with access to the Platform and necessary tools for managing venue profiles.
4.2 Support and Training: MENUVIEW will offer online training resources for using the Platform.
4.3 Commissions: MENUVIEW will retain a commission from each monthly payment made by venues managed by the Recruiter and will not interfere with the commercial relationship between the Recruiter and venues unless this Agreement is breached.
5. COMPENSATION AND COMMISSIONS
5.1 Recruiter Payment: MENUVIEW does not provide a salary or fixed remuneration to the Recruiter. The Recruiter may establish payment agreements directly with the venues.
5.2 MENUVIEW Commission: MENUVIEW will receive a commission equivalent to [Commission Percentage]% of each monthly payment made by venues managed by the Recruiter.
5.3 Taxes: The Recruiter is responsible for fulfilling all their tax obligations related to income generated through the Platform.
6. INTELLECTUAL PROPERTY
6.1 Platform Rights: MENUVIEW retains all intellectual property rights over the Platform.
6.2 Limited License: MENUVIEW grants the Recruiter a limited license to use the Platform solely for fulfilling the obligations of this Agreement.
7. CONFIDENTIALITY AND DATA PROTECTION
7.1 Confidentiality: The Recruiter agrees to maintain the confidentiality of all MENUVIEW’s business or technical information.
7.2 Data Protection: The Recruiter must obtain the necessary consent from venue owners to process their data on the Platform.
8. DURATION AND TERMINATION
8.1 Duration: This Agreement is of indefinite duration starting from the date of acceptance by the Recruiter unless terminated by either party.
8.2 Voluntary Termination: Either party may terminate this Agreement at any time with at least 30 days’ notice to the other party.
8.3 Termination for Breach: MENUVIEW may terminate the Agreement immediately in case of breach.
8.4 Consequences of Termination: Upon termination, the Recruiter must cease using the Platform.
9. LIMITATION OF LIABILITY
9.1 MENUVIEW’s Limited Liability: MENUVIEW will not be liable for direct or indirect damages arising from the relationship between the Recruiter and venues or from the use of the Platform.
9.2 Recruiter Responsibility: The Recruiter will be solely responsible for any damages caused by their use of the Platform or their relationship with venues.
10. CONTRACT UPDATES
10.1 Modifications: MENUVIEW reserves the right to modify this Agreement. In case of significant changes, MENUVIEW will notify the Recruiter, who must accept the new version to continue using the Platform.
10.2 Acceptance of Updates: Acceptance of any future version of this Agreement will be valid through the Recruiter’s explicit consent by logging in and agreeing to the changes on the Platform.
11. GOVERNING LAW AND JURISDICTION
11.1 Governing Law: This Agreement is governed by the laws of [MENUVIEW’s Country].
11.2 Jurisdiction: For conflict resolution, both parties submit to the courts of [City or Country].
ELECTRONIC ACCEPTANCE
By clicking the acceptance box on the registration form, you declare that you have read and understood all the terms and conditions of this Agreement and agree to fully comply with them. This electronic acceptance constitutes a binding agreement between MENUVIEW and the Recruiter.
